Mergers & Acquisitions Legal Advisor
Senior Legal Counsel – M&A
Key Responsibilities:
- Serve as a trusted legal advisor to clients engaged in M&A transactions, providing expert guidance and support throughout the process
- Oversee and coordinate all legal aspects of M&A transactions, from initiation to completion
- Draft, review, and negotiate key legal documents, including Non-Disclosure Agreements (NDAs), Letters of Intent (LOIs), Share Purchase Agreements (SPAs), and Asset Purchase Agreements
- Lead negotiations between involved parties, representing both buyers and sellers
- Ensure full compliance with legal and regulatory requirements at every stage of the M&A process
- Collaborate closely with internal and external stakeholders, including internal teams, external legal counsel, and financial advisors
- Conduct due diligence, reviewing legal documentation, financial statements, and contracts to assess risks and ensure informed decision-making
- Identify potential risks and propose effective risk mitigation strategies
- Stay up to date with industry trends, regulatory changes, and best legal practices in M&A
- Provide guidance, training, and mentorship to junior legal team members as needed
- Master’s degree in Law, with a strong knowledge of Belgian law
- Proven experience in a Legal Counsel or similar role, with significant exposure to M&A transactions
- Expertise in legal frameworks governing mergers, acquisitions, and corporate restructurings
- Strong drafting and negotiation skills to effectively manage legal documentation and deal terms
- Business-oriented mindset with the ability to provide commercially practical legal advice
- Excellent communication and interpersonal skills, with the ability to build strong relationships with clients and stakeholders
- Highly analytical and detail-oriented, with the ability to assess legal risks effectively
- Professional certification or membership in relevant legal organizations is a plus
- Fluency in Dutch and/or French and English
